Terms of Service

OpenTakeoff provides the measurement and review tools people and AI agents use to perform construction estimating work. You remain responsible for the work you authorize and the estimates you deliver.

Scope and operator

These terms govern the hosted OpenTakeoff service at opentakeoff.kentucky-ai.com, maintained by Michael Edlin / Kentucky AI. By using that service, you agree to these terms. If you use it for an organization, you must have authority to do so. Questions: michael@kentucky-ai.com.

The open-source software is separately licensed under the Apache License 2.0. These service terms do not replace or restrict rights granted by that license or the licenses of included components. Independent deployments may have their own service terms.

Your plans and work product

You retain your rights in drawings, project information, measurements, annotations, and outputs, subject to the rights of their original owners and any agreement you have with a client. Using OpenTakeoff does not transfer ownership of your plans or estimates to us. You must have permission to access, process, share, and export the material you use, including permission to disclose it to any connected AI or cloud provider.

When you choose a hosted or connected feature, you authorize the processing needed to carry out that request. This is not permission to publish your private plans or use them for model training. Optional dataset contributions are a separate choice; review the stated contribution purpose and any applicable contribution license before sharing.

Agents, delegated work, and bounties

You may use OpenTakeoff through an AI agent to perform authorized takeoff or estimating tasks, including work commissioned through a bounty or other external arrangement. The person or organization directing the agent is responsible for its instructions, access, actions, and deliverables. Do not represent an agent-generated result as having human approval unless a human actually reviewed and approved it.

OpenTakeoff supplies the tools for that work. These terms do not establish a bounty marketplace, escrow service, payment guarantee, employment relationship, or agreement between a client and a worker. Scope, pricing, deadlines, acceptance criteria, confidentiality, ownership between those parties, payment, and disputes must be agreed with the commissioning party or the platform arranging the work. A quantity export or review marker does not itself accept a bounty, authorize payment, or bind a client to a contract.

Review before relying on an estimate

Drawing scales, quantities, material assignments, deductions, waste, pricing, and AI interpretations can be incomplete or wrong. Check the current plans, specifications, revisions, site conditions, units, and project scope. Have a qualified person review outputs before bidding, procurement, payment, installation, or other consequential use. OpenTakeoff does not provide licensed engineering, architecture, code certification, or a guarantee of an estimate's completeness or accuracy.

Permitted use and access

Use the service lawfully. Do not access another person's files without permission, interfere with the service, bypass access controls, introduce malicious content, or misrepresent authorship or approval. Keep credentials secure and grant agents only the access needed for their task. We may restrict hosted access to address misuse, security risks, or legal requirements; this does not revoke your open-source license rights.

Connected services, costs, and backups

AI assistants, model providers, cloud drives, hosting platforms, and bounty services are separate services governed by their own terms. You are responsible for their charges and for the permissions you grant them. OpenTakeoff's free public tools do not promise free third-party usage. Any future paid OpenTakeoff offering would disclose its price and applicable terms separately before purchase.

Maintain your own backups. Browser storage can be cleared or evicted, and connected services can fail or change. We do not promise to recover local data, retain your project files, provide uninterrupted availability, or support every integration indefinitely. See the Privacy Policy for data handling.

Warranties and responsibility

To the extent permitted by applicable law, the hosted service is provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, non-infringement, availability, or accuracy. To that same extent, the operator and contributors are not liable for indirect, incidental, special, consequential, or punitive loss, including lost profits, lost data, or losses resulting from reliance on an unverified estimate.

Nothing here excludes liability or removes consumer or other rights that cannot lawfully be excluded. The Apache License's warranty and liability provisions apply separately to the open-source software.

Changes and ending use

You may stop using the hosted service at any time. We may change or discontinue hosted features. Revised terms will appear here with a new effective date, and material changes will be identified on this page. Where required, we will provide notice or obtain agreement before new terms apply. Changes do not alter previously granted open-source license rights. If any provision is unenforceable, the remaining provisions continue to the extent permitted by law.
